How to attend the AGM ?
Holders
of registered shares must
be registered in the Company
accounts at least 5 days before the meeting. They may participate to AGM
solely by providing proof of their identity.
Owners of bearer shares
have two possibilities:
• hold a certificate established by
their authorized financial intermediary indicating that the shares have
been blocked for trading and come with at the AGM;
• send a
request to their authorized financial intermediary in order to receive
admission card, which will be sent directly by CM-CIC Securities.
Proxy and postal voting
If the shareholder wants
to vote but is unable to attend the AGM, there are
three possibilities:
• Give proxy to another shareholder or
to a spouse to attend the General Meeting,
• Give proxy to the
Chairman,
• Use the postal voting form. For the registered
shareholder, the postal voting form is joined to the notification. Owner
of bearer shares will ask their financial intermediary for the form.
In order to be considered, the completed form must be returned to
CM-CIC Securities, at least 3 days before the AGM.
Fully
registered, managed registered or bearer shares
Shares may be held in registered or bearer form, at the
choice of the shareholder.
Bearer shares are recorded in an account maintained by a
financial intermediary providing custodial services.
Shares held in fully registered
form (nominatif pur) are deposited in share accounts maintained by
the Company. Shares held in managed registered form
(“nominatif administré”) are recorded in the books of
the Company but deposited in an account maintained by a financial
intermediary providing custodial services.
The main characteristic of fully registered shares is that no fees are charged for custodial and share administration services (conversions, transfers, dividend payments, bonus shares). The only amounts charged to shareholders are execution fees on the purchase and sale of rights forming fractional shares in connection with equity transactions.
For managed registered shares, all shares are maintained in a single aggregate account of the financial intermediary. However, in this latter case, the shareholder is subject to custody and share administration fees like holders of bearer shares.
Registration as fully registered shares
CIC provides share administration services for the registered share accounts of the Company. To benefit from these services, simply send a letter to the financial intermediary acting as custodian requesting that the shares be transferred to CM-CIC Securities as fully registered shares (nominatif pur).
